Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by DSRV USA Inc., operating as "Bind" ("Bind", "we", "us"), a corporation organized under the laws of the State of Delaware, including our website, vault storage, and storage receipts (collectively, the "Service"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Bind is

Bind is a storage (custody) service for physical, professionally graded (e.g., PSA) trading cards held at a secure facility in the United States. When a card is placed into the vault, we issue a digital storage receipt recorded on the Polygon blockchain. The storage receipt evidences the right of its holder to withdraw the corresponding physical card from the vault. Bind is not a securities exchange, broker-dealer, investment platform, or money transmitter.

Cards offered through the Store may be purchased; upon completed payment, you receive the storage receipt for that card and the card remains in the vault. Prices, availability, fees, and card details may change at any time. All sales are subject to verification and may be cancelled and refunded if a card becomes unavailable or an error occurs.

4. Withdrawal of physical cards

The current holder of a storage receipt may request withdrawal of the physical card. Withdrawal is subject to: (a) a handling and shipping fee; (b) identity verification (KYC); and (c) surrender of the storage receipt. Shipping is arranged at the holder's cost, and risk of loss passes upon hand-off to the carrier.

We store cards with commercially reasonable care at a secure facility. Bind does not provide insurance covering your cards; any insurance Bind carries is for its own account, and you are responsible for arranging your own insurance if you wish. Except to the extent caused by Bind's gross negligence or willful misconduct, or as otherwise required by applicable law, you are responsible for the risk of loss, theft, damage, deterioration, and changes in the market value of stored cards.

Cards are described using third-party grading (e.g., PSA). Bind is not affiliated with PSA or any grading service and does not guarantee the accuracy of any grade, label, or certification. You are responsible for evaluating a card before acquiring or storing it.

Fees (including purchase prices and withdrawal/handling/shipping fees) are presented at the relevant time and may change. You are responsible for any taxes arising from your transactions.

10. Prohibited use

You may not use the Service for fraud, money laundering, trafficking in stolen or counterfeit goods, or any unlawful purpose, or to interfere with the Service's operation or security.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, or any particular resale value of any card.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIND WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS. Bind's total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the fees you paid to Bind in the 12 months before the event giving rise to the claim, or (b) the documented fair market value of the specific affected card at the time of loss, where such loss results from Bind's gross negligence or willful misconduct. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify and hold Bind harmless from claims and expenses arising out of your breach of these Terms, your cards, or your use of the Service.

14. Changes

We may update these Terms from time to time. Material changes will be posted here with an updated date. Continued use of the Service after changes constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Delaware, unless otherwise required by applicable law.
